1.3 GSTIN: 36ABCCS5224N1Z2 · FSSAI Central Licence: 13622999000032.
1.4 Contact: Info@smartgreenaquaculture.com · +91-8001231230 (phone/WhatsApp). Grievance Officer details are in clause 39.
2. Scope and acceptance
2.1 These Terms govern your use of the Website and your purchase of our products. By browsing, creating an account, checking out as a guest, or placing an order, you agree to these Terms, our Privacy Policy, Refund & Replacement Policy and Cancellation Policy, each incorporated by reference.
2.2 Please read them before ordering. If you do not agree, please do not use the Website or place an order.
2.3 Where you have a separately signed B2B or HoReCa supply agreement with us, that agreement prevails over these Terms to the extent of any conflict.
3. Electronic contracting and consent
3.1 These Terms are an electronic record under the Information Technology Act, 2000, and do not require a physical signature. Your acceptance by clicking, checking the acceptance box, or placing an order forms a valid electronic contract.
3.2 We may keep a record of the version of the Terms and consents you accepted, with date and time.
4. Eligibility and legal capacity
4.1 You must be at least 18 years old and legally competent to contract. By ordering, you confirm this.
4.2 Orders on behalf of a business may be placed only by a person authorised to bind that business.
5. Accounts, security and guest checkout
5.1 You may order as a guest or create an account. Accounts let you track orders, save addresses, view history, manage communication preferences and raise complaints.
5.2 Keep your login credentials confidential. You are responsible for activity under your account. Tell us promptly at Info@smartgreenaquaculture.com if you suspect unauthorised use.
5.3 We store passwords in securely hashed form and never in readable text.
6. Permitted and prohibited use
6.1 Use the Website only for lawful personal or authorised business purchasing.
6.2 You must not: place fraudulent or speculative orders; misuse another person's payment method; scrape, harvest or copy Website data; interfere with the Website's security or operation; impersonate any person; upload unlawful, infringing or harmful content; or resell our products in breach of any separate agreement.
7. Products, descriptions and images
7.1 We sell premium farm-raised rainbow trout and seafood in the forms listed on the Website (whole; whole gutted/dressed; skin-on and skinless fillets; steaks; portion cuts; chef and custom cuts; vacuum-packed and skin-vacuum-packed; chilled; and frozen/IQF where listed).
7.2 Product images are representative. They show the general product and cut. Because fish are natural biological products, the item you receive may reasonably vary in shape, colour, fat distribution, thickness, skin pattern, portion dimensions and number of pieces per pack. Images will not materially misrepresent the product.
8. Natural variation in fish products
8.1 Rainbow trout is a natural product. Reasonable variation in appearance, colour, texture, fat and yield is normal and is not a defect.
8.2 Where the correct net weight is delivered, a variation in the number of pieces per pack is not a shortfall.
9. Fresh, chilled and frozen products
9.1 "Chilled/fresh" products are supplied refrigerated and must be kept at 0 °C–4 °C. "Frozen/IQF" products are supplied frozen and must be kept at or below −18 °C.
9.2 Each product page and label states the applicable form, storage conditions and date marking.
10. Availability and inventory
10.1 We sell from our own inventory and production. Listing a product is an invitation to order, not a guarantee of availability.
10.2 If an item becomes unavailable after you order, clauses 16–17 (acceptance, substitution and cancellation) apply.
11. Product weights, tolerances and weight-based billing
11.1 Products may be sold by fixed pack weight, declared weight band, approximate weight or actual packed net weight, as shown on each product page.
11.2 Fillets, steaks and portion cuts are billed on the final packed net weight. Whole and gutted fish are supplied within the displayed weight band or billed on actual net packed weight.
11.3 For fixed-weight packs we aim to meet the declared quantity within an operational tolerance of approximately ±5%, and never below the net quantity required by the Legal Metrology Act, 2009 and rules made under it.
11.4 We use verified weighing for weight-based sales.
12. Estimated price versus final packed price
12.1 Where checkout shows an estimated amount for a weight-based item, the product is weighed after final processing and packing and the invoice shows the actual billed weight.
12.2 If the actual packed weight is lower, we automatically refund the excess you paid to your original payment method (initiated within 3 business days).
12.3 If the actual packed weight is higher, we will not charge you more than the checkout amount without your express approval. We will either seek your approval and send a secure payment link for the difference, or offer a lower-weight pack where possible. We may, at our discretion, supply a small excess weight at no extra charge.
13. Cutting, dressing, filleting and yield
13.1 Processing (gutting, heading, trimming, skinning, filleting, portioning) reduces weight. For products sold as final cuts, you are billed on the final packed net weight.
13.2 If you buy a specific whole fish and ask us to process it, the product page discloses the whole-fish input weight, the expected processed yield and whether trimmings are included, and billing for such custom processing is on the input weight as clearly shown before payment.
14. Taxes, delivery fees and other charges
14.1 Prices are shown in Indian Rupees. Applicable taxes are shown before payment. The MRP shown is inclusive of all taxes as required by law, and the unit sale price (e.g. per kg) is displayed where required.
14.2 Delivery charge is ₹200 per order; delivery is free for orders above ₹5,000. Any remote-area, special-handling or high-demand charge is disclosed before checkout and included in the amount payable. We do not add charges after payment without your approval.
15. Order placement, acknowledgement and legal acceptance
15.1 Placing an order and receiving an automated acknowledgement or payment confirmation is an offer by you; it does not by itself form a contract.
15.2 A binding contract is formed only when we send an "Order Confirmed" communication after we have verified payment, confirmed product availability and delivery serviceability, and completed any fraud or order checks.
15.3 If we cannot accept your order, we will tell you and refund any amount paid.
16. Our right to reject or cancel an order
16.1 We may decline or cancel an order (in whole or part) for legitimate reasons, including: product unavailability; failure of quality inspection; a food-safety concern; delivery address outside our service area; inability to maintain the cold chain; payment failure; suspected fraud or unauthorised payment; incorrect or incomplete details; an obvious pricing, weight or listing error; legal or regulatory restriction; force majeure; or customer abuse, threats or repeated fraudulent claims.
16.2 Where we cancel for reasons not attributable to you, you receive a full refund (product price, applicable taxes and delivery fee) or, if you prefer, a replacement or rescheduled delivery. We give the reason where legally and operationally appropriate.
17. Availability and substitutions
17.1 If an item is unavailable, we may offer a different weight within your selected range, an alternative cut or product, a rescheduled delivery, or removal of the item with a refund.
17.2 Material substitutions require your express approval. We will not substitute a different species, a frozen product for a fresh one (or vice versa), a skin-on for a skinless product (or vice versa), a different cut, or a materially different weight or price without your approval. If you do not respond, we treat the substitution as declined.
18. Payment methods and authorisation
18.1 We accept payment through our authorised payment gateway (Razorpay) via methods shown at checkout (e.g. UPI, cards, net banking, wallets). By paying, you confirm you are authorised to use the payment method.
18.2 We do not store your full card number, CVV, UPI PIN or net-banking credentials; these are handled by the payment provider. See the Privacy Policy.
19. Failed, pending and duplicate transactions
19.1 An order is not confirmed until payment is successfully verified.
19.2 If your account is debited but we do not receive confirmation, share the transaction reference and we will check with the gateway. Reversal of a failed transaction may be processed automatically by your bank or payment provider, and we will assist with reconciliation.
19.3 A verified duplicate payment is refunded to your original payment method (initiated within 3 business days of verification).
20. Fraud prevention and verification
20.1 We may carry out reasonable checks to prevent fraud and may request verification before accepting or delivering an order. We may decline or cancel orders that fail these checks.
21. Promotions, coupons and discounts
21.1 Coupons, discount codes and limited-period offers are subject to their stated validity, minimum order value, eligible products and areas, combinability, maximum discount and usage limits.
21.2 We do not use false urgency, hidden conditions, misleading scarcity or automatically added charges. On cancellation or refund, promotional benefits are treated as set out in the Cancellation and Refund & Replacement Policies.
22. Delivery areas, slots and estimates
22.1 We deliver to serviceable PIN codes shown at checkout. Delivery days and time slots (e.g. 09:00–13:00 and 14:00–18:00) are shown during ordering.
22.2 Delivery times are estimates. We make reasonable efforts to deliver within your selected slot, but delays may occur due to traffic, weather, breakdown, security restrictions, operational issues or events beyond our reasonable control. A delay does not remove your rights where food safety or quality is affected.
23. Your address and availability
23.1 You must provide a correct, complete delivery address and remain reasonably available (or arrange an authorised recipient) during your slot. We are not responsible for failed delivery caused by an incorrect address or your unavailability, except where required by law.
24. Delivery to an authorised recipient
24.1 An order may be received by you, an adult family member, your employee or authorised representative, or building security/reception where you have permitted it. Delivery to such a person is treated as delivery to you.
25. Proof of delivery
25.1 We may record proof of delivery by OTP, recipient name, signature, delivery photograph, electronic confirmation, or GPS/timestamp. Any photograph avoids unnecessarily capturing faces, private interiors or unrelated information.
26. Failed, refused and re-delivery
26.1 Because products are perishable, we ordinarily make one scheduled delivery attempt. If you are unavailable, our delivery person makes reasonable attempts to contact you and waits about 10 minutes where practical.
26.2 If delivery cannot be completed for reasons attributable to you (unavailability, no response, incorrect address, refusal without a verified defect, or access being blocked), the order may be returned or safely disposed of; re-delivery is not guaranteed; and for made-to-order products that cannot be safely resold, the product price may be non-refundable. We will not charge you where the failed delivery was caused by us or our delivery partner.
26.3 A second attempt may be offered only where the cold chain can be maintained and you accept any disclosed additional charge.
27. Cold-chain handling and delivery inspection
27.1 We maintain chilled products at approximately 0 °C–4 °C and frozen products at or below −18 °C, using validated food-grade, insulated and tamper-evident packaging appropriate to the product and journey.
27.2 Please inspect the item count, outer packaging, seal integrity, leakage, obvious temperature concerns and visible damage at handover. You are not required to perform technical food-safety testing. Report any immediate concern to the delivery person and to Info@smartgreenaquaculture.com. Accepting delivery does not remove your rights for hidden or later-discovered defects.
28. Risk and title
28.1 Risk and title in the products pass to you on delivery to you or your authorised recipient. This clause does not limit your statutory rights, including in respect of unsafe or defective food.
29. Immediate refrigeration or freezing
29.1 On receipt, refrigerate chilled products immediately at 0 °C–4 °C and keep frozen products at or below −18 °C. Do not leave products at room temperature.
30. Allergens and bones
30.1 Our products contain fish, a recognised allergen. Despite careful deboning, fillets and other products may contain occasional bones or pin bones. Please inspect carefully before consumption, especially when serving children or vulnerable persons.
31. Safe handling, storage and cooking
31.1 Follow the storage, thawing, cooking and use-by instructions on the pack. Do not consume if the seal is broken or packaging is damaged, swollen, leaking or produces an abnormal odour. Cook thoroughly unless a product is specifically prepared and labelled for another safe use; raw or undercooked seafood carries food-safety risk. Prevent cross-contamination with ready-to-eat foods and wash hands, utensils and surfaces after handling raw fish.
32. Product recalls and food-safety communications
32.1 We maintain batch/lot traceability and a food-safety recall procedure. If a product is recalled, we may contact you using your order details, advise you not to consume it, and arrange a refund or replacement. Please cooperate with recall instructions.
33. Cancellation Policy
33.1 Our Cancellation Policy (Part F / the "Cancellation Policy" page) forms part of these Terms and sets out when you and we may cancel and the resulting refund treatment.
34. Refund and Replacement Policy
34.1 Our Refund & Replacement Policy (Part E / the "Refund & Replacement Policy" page) forms part of these Terms and sets out eligibility, evidence and remedies for perishable products.
35. Complaints and grievance redressal
35.1 Contact Customer Care first (clause 1.4). If unresolved, escalate to our Grievance Officer (clause 39), who acknowledges within 48 hours and endeavours to resolve within one month, consistent with the Consumer Protection (E-Commerce) Rules, 2020. Your statutory consumer remedies are preserved (clause 48).
36. Reviews and user-generated content
36.1 If we enable reviews, photos or other content, you must submit only truthful, lawful content that you own or are entitled to share, and must not post false, defamatory, harassing, infringing or misleading material, another person's private information, manipulated images, or undisclosed paid/incentivised reviews.
36.2 You grant us a limited, non-exclusive licence to display and promote your submitted content in connection with our products. We do not claim unlimited ownership of your content and may moderate or remove content.
37. Intellectual property
37.1 The Website, brands, logos, text, images and content are owned by or licensed to SmartGreen and protected by law. You may not copy, reproduce or use them without our written permission, except as normally required to browse and order.
38. Prohibited interference
38.1 You must not scrape, hack, introduce malware, circumvent security, or otherwise interfere with the Website or attempt unauthorised access.
39. Third-party links and services
39.1 The Website may use or link to third-party services (e.g. payment, logistics, analytics). We are not responsible for third-party websites; their terms and privacy policies apply to your use of them.
40. Privacy
40.1 Our Privacy Policy (Part G / the "Privacy Policy" page) explains how we handle your personal data and forms part of these Terms.
41. Food, nutrition, sustainability and quality claims
41.1 Any nutrition, health, freshness, sustainability, farming or quality claim we make is intended to be accurate, substantiated and consistent with the product label and the FSS (Advertising and Claims) Regulations, 2018. We do not overstate health, environmental, antibiotic or organic attributes.
42. Force majeure
42.1 We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, severe weather, civil disruption, strikes, utility or transport failure, epidemic, or governmental action. Where such an event affects your order, clauses 16 and 26 and the Cancellation Policy apply.
43. Disclaimers (lawful)
43.1 The Website is provided on a reasonable-efforts basis. Except as required by law and subject to clause 44, we do not warrant that the Website will always be uninterrupted or error-free. Nothing in this clause excludes liability that cannot lawfully be excluded, including for unsafe food.
44. Limitation of liability
44.1 Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; supply of unsafe or defective food; fraud or wilful misconduct; or any liability that cannot be excluded under the Consumer Protection Act, 2019, the Food Safety and Standards Act, 2006, the Sale of Goods Act, 1930, or other applicable law.
44.2 Subject to clause 44.1, our liability arising out of an order is limited to re-supply of the product or refund of the amount you paid for the affected product, and we are not liable for indirect or consequential loss. Your statutory rights are not affected.
45. Indemnity
45.1 You agree to indemnify us against losses we reasonably incur arising directly from your breach of clauses 6, 20 or 36 (misuse, fraud, or unlawful content). This indemnity is limited to losses directly caused by your breach and does not apply to matters caused by us.
46. Governing law
46.1 These Terms are governed by the laws of India.
47. Jurisdiction and dispute resolution
47.1 Subject to clause 48, the courts at Hyderabad, Telangana have jurisdiction. We encourage you to contact our Grievance Officer first to resolve any issue.
48. Statutory consumer remedies
48.1 Nothing in these Terms affects your rights under the Consumer Protection Act, 2019, including your right to approach the appropriate District, State or National Consumer Disputes Redressal Commission, including at your place of residence as permitted by law.
49. Notices
49.1 We may contact you by email, SMS, WhatsApp or phone using the details you provide. You may contact us at Info@smartgreenaquaculture.com.
50. Changes to these Terms
50.1 We may update these Terms from time to time. Changes apply prospectively from the date they are posted, with an updated effective date. We will not change the price, weight or terms of an order you have already placed and we have confirmed, except as required by law or with your consent.
51. Severability
51.1 If any clause is held invalid, the remaining clauses continue in effect.
52. Waiver
52.1 A delay or failure to enforce any right is not a waiver of it.
53. Entire agreement
53.1 These Terms, together with the Privacy, Refund & Replacement and Cancellation Policies (and any signed B2B/HoReCa agreement), form the entire agreement between you and us regarding your use of the Website and purchases.
